The following are the rules that govern use of the IROOZIPAGES web site (“the Site” or “IROOZIPAGES”) and the services we may offer, including, but not limited to, email, a searchable directory of business web sites, links to other web sites, etc (collectively referred to as “Services”). By using the Site, You agree to be bound by these Terms and Conditions (“Terms”), including but not limited to the Privacy Policy and other usage guidelines and rules that may be posted from time to time, all of which are incorporated herein by reference, and to follow the Terms and all applicable laws and regulations governing the Site. If You do not agree to the Terms, do not enter or use the Site.

IROOZIPAGES may update the Terms from time to time. You are responsible for checking this page periodically for changes and updates to the Terms. Your use of the Site following any posted change(s) to the Terms will be deemed an acceptance of such change(s). In addition, when using the Site, You shall be subject to any posted guidelines or rules, which may be posted from time to time. All such guidelines or rules are hereby incorporated by reference into the Terms.

This Site is not intended for use by persons under the age of thirteen. Individuals who are under the age of thirteen are expressly prohibited from posting any of their personally identifiable information. 1. IROOZIPAGES’ Proprietary Rights; Permitted Use:

The Site, including but not limited to, any content, software and services offered thereon, are the property of IROOZIPAGES and/or its suppliers. It is protected by the US and international intellectually property laws. You are hereby authorized solely to view and to retain a copy of pages of this Site for Your own personal use. Do not duplicate, publish, modify, or otherwise distribute the material on this Site, unless specifically authorized in writing by IROOZIPAGES.

You hereby acknowledge and agree all right, title, and interest in and to the Site, including, but not limited to, any patent rights, patents, business methods, copyrights, trademarks, trade secrets, inventions, know-how, and all other intellectual property rights pertaining thereto, shall be owned exclusively by IROOZIPAGES. Except as expressly authorized by IROOZIPAGES in this Agreement, You agree not to make, copy, display, modify, rent, lease, license, loan, sell, distribute, or create derivative works of the Site, in whole or in part. You agree not to access the Site by any means other than through the interface that is provided by IROOZIPAGES for use in accessing the Site.

2. User Contributions to the Site

IROOZIPAGES provides users with the opportunity to contribute to the Site. You understand all information, data, text, links, articles, software, photographs, graphics, video, music, sound, messages, or other materials posted by IROOZIPAGES on the Site (collectively referred to as “User Content”), whether publicly posted or privately transmitted, are the sole responsibility of You or other users posting or transmitting User Content. This means that You, and not IROOZIPAGES, are entirely responsible for all User Content uploaded, posted, emailed, or otherwise transmitted via the Site. It is Your obligation is to ensure no copyright, trademark, trade secret, publicity or privacy rights, or other intellectual property rights are being violated by Your posting or transmission of any User Content via the Site.

IROOZIPAGES does not control or pre-screen User Content posted via the Site or sent to another user and, as such, does not guarantee the accuracy, integrity, appropriateness, or quality of User Content. User Content posted by users or other third parties does not necessarily represent the views or opinions of IROOZIPAGES and under no circumstances will IROOZIPAGES be liable in any way for any User Content, including, but not limited to, any loss or damage of any kind incurred as a result of the use of any User Content posted or otherwise transmitted via the Site.

Users can be held liable for any illegal or prohibited User Content they provide to the Site or to other users, including, for example, infringing, defamatory, harassing and/or offensive materials. To ensure the Site is available for all users to enjoy, You represent and warrant You will not, post, transmit, email or otherwise make accessible on or through the Site, User Content which may be considered by IROOZPAGES:

as unlawful, harmful, threatening, defamatory, libelous, abusive, disparaging, pedophilic, pornographic, obscene, hateful, malicious or invasive of another’s privacy;
to contain hate propaganda or promote discrimination or violence against any people on account of their race, national origin, religion, age, gender, disability, or sexual orientation;
as harmful or potentially harmful to minors;
to harass or advocate the harassment of another person;
to involve the transmission of “junk mail,” “chain letters,” or unsolicited mass mailing (or “spamming”);
to promote information You know is false, misleading, or promotes illegal activities or conduct;
to promote an illegal or unauthorized copy of another person’s work, such as providing pirated computer programs or links to them, or providing information to circumvent manufacture-installed copy-protect devices;
to infringe any patent, copyright, trademark, service mark, trade secret, or other proprietary right of any other party;
to contain restricted password only access pages, or hidden pages or images (those not linked to or from another accessible page);
to provide material that exploits people under the age of 18 in a sexual or violent manner, or solicits personal information from anyone under 18;
to provide instructional information about illegal activities, such as making or buying illegal weapons, or providing or creating computer viruses;
to contain a software virus or any other code files or programs that are designed to or have the ability to interrupt, destroy, compromise, or otherwise limit the functionality of any computer software or hardware or telecommunications equipment whether owned by IROOZIPAGES or any other party;
to solicit passwords, or personal identifying information for commercial or unlawful purposes from other users; or
to violate any local, state, national or other applicable law or regulation.
impersonate any person or entity, including an IROOZIPAGES officer or employee, or falsely misrepresent Your affiliation with any other person or entity;
forge headers or otherwise manipulate identifiers for the purpose of disguising the origin of any User Content posted or transmitted through or on the Site;
engage in commercial activities and/or sales without IROOZIPAGES prior written consent including, but not limited to, contests, sweepstakes, barter, or advertising;
post or transmit any Content You do not have the right to post or transmit;
post or submit unsolicited commercial e-mail, chain letters, pyramid schemes, or seek or encourage others to engage in these activities;
disrupt the ordinary flow and operation of any portion of the Site;
interfere with or disrupt the Site or any server or network involved with the operation of the Site;
stalk or harass any other person; or
collect or “harvest” from the Site the names of other users for the purpose of transmitting to those other users’ unsolicited commercial messages.

3. License Content

With respect to User Content You elect to post or transmit for inclusion in or on the Site, You grant IROOZIPAGES and its affiliates and partners the perpetual, world-wide, royalty free, non-exclusive license to use, reproduce, translate, alter, perform, display, modify, adapt, and publish User Content, in whole or in part, in all present and future media and in any manner relating to the Site, including but not limited to, the appearance of such User Content on IROOZIPAGES and on the sites of IROOZIPAGES’ affiliates, partners and others with whom IROOZIPAGES may have business relationships relating to the Site, and the distribution and promotion of the Site. You further agree IROOZIPAGES is free to use any ideas, know-how, concepts, techniques or other materials You send it for any purpose.

You also agree IROOZIPAGES may preserve User Content and may also disclose User Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the Terms; (c) respond to claims User Content violates the rights of third-parties; or (d) protect the rights, property, or personal safety of IROOZIPAGES, its users and the public.

4. Membership and Subscription; Pricing.

You may join IROOZIPAGES as a Member at no cost. As a Member, you will have the ability to participate in some, but not all, of the features and services available within the Service. In order to access additional features and services, you must become a paying Subscriber to IROOZIPAGES. Please see Subscription Rates for a description of the current subscription plans and their prices. Please note that the subscription policies that are disclosed to you in subscribing to the service are deemed part of this Agreement. For purposes of this Agreement the term “Member” includes subscribers, unless where its usage indicates otherwise.

5. Term.

This Agreement will remain in full force and effect while you use IROOZIPAGES and/or are a Member. You may terminate your membership and/or subscription at any time, for any reason, by sending IROOZIPAGES email notice of termination to support@IROOZIPAGES.COM, including the words “Cancel Service” in the subject line of said email. If you terminate your subscription, your subscription will remain active until the end of your then-current subscription period (that is, the subscription period through which you had paid prior to your termination). IROOZIPAGES may terminate your membership and/or subscription by sending notice to you at the email address you provide in your application for membership, or such other email address as you may later provide to IROOZIPAGES. If IROOZIPAGES terminates your membership because you have breached this Agreement, you will not be entitled to any refund of unused subscription fees. All decisions regarding the termination of accounts shall be made in the sole discretion of IROOZIPAGES. IROOZIPAGES is not required to provide you notice prior to terminating your membership and/or subscription. IROOZIPAGES is not required, and may be prohibited, from disclosing a reason for the termination of your account. Even after your membership or subscription is terminated, this Agreement will remain in effect. All terms that by their nature may survive termination of this Agreement shall be deemed to survive such termination.

6.Subscriptions; Charges on Your Billing Account.

a.General.

IROOZIPAGES bills you through an online account (your "Billing Account") for use of the Service. You agree to pay IROOZIPAGES all charges at the prices then in effect for any use of the Service by you or other persons (including your agents) using your Billing Account, and you authorize IROOZIPAGES to charge your chosen payment provider (your "Payment Method") for the Service. You agree to make payment using that selected Payment Method. IROOZIPAGES reserves the right to correct any errors or mistakes that it makes even if it has already requested or received payment. NicheClick Media, the parent company of IROOZIPAGES, is the billing entity and your billing statement will reflect such. All sales are final and partial use of memberships are non refundable.

b.Recurring Billing.

Subscription plans to the Service consist of an initial period, for which there is a one-time charge, followed by recurring period charges as agreed to by you unless you elect to turn off the recurring billing mechanism. By entering into this Agreement, you acknowledge that your subscription has an initial and recurring payment feature and you accept responsibility for all recurring charges prior to cancellation, unless you elect to turn off the auto-recurring billing mechanism when you purchase a subscription. IROOZIPAGES MAY SUBMIT PERIODIC CHARGES (E.G., MONTHLY) WITHOUT FURTHER AUTHORIZATION FROM YOU, UNTIL YOU PROVIDE PRIOR NOTICE (CONFIRMED IN WRITING UPON REQUEST BY IROOZIPAGES) THAT YOU HAVE TERMINATED THIS AUTHORIZATION OR WISH TO CHANGE YOUR PAYMENT METHOD. SUCH NOTICE WILL NOT AFFECT CHARGES SUBMITTED BEFORE IROOZIPAGES REASONABLY COULD ACT. TO TERMINATE YOUR AUTHORIZATION OR CHANGE YOUR PAYMENT METHOD. ALL SALES ARE FINAL AND PARTIAL USE OF SUBSCRIPTIONS ARE NOT REFUNDABLE.

c.Current Information Required.

YOU MUST PROVIDE CURRENT, COMPLETE AND ACCURATE INFORMATION FOR YOUR BILLING ACCOUNT. YOU MUST PROMPTLY UPDATE ALL INFORMATION TO KEEP YOUR BILLING ACCOUNT CURRENT, COMPLETE AND ACCURATE (SUCH AS A CHANGE IN BILLING ADDRESS, CREDIT CARD NUMBER, OR CREDIT CARD EXPIRATION DATE), AND YOU MUST PROMPTLY NOTIFY WORLD SINGLES IF YOUR PAYMENT METHOD IS CANCELED (E.G., FOR LOSS OR THEFT) OR IF YOU BECOME AWARE OF A POTENTIAL BREACH OF SECURITY, SUCH AS THE UNAUTHORIZED DISCLOSURE OR USE OF YOUR USER NAME OR PASSWORD. IF YOU FAIL TO PROVIDE IROOZIPAGES ANY OF THE FOREGOING INFORMATION, YOU AGREE THAT WORLD SINGLES MAY CONTINUE CHARGING YOU FOR ANY USE OF THE SERVICE UNDER YOUR BILLING ACCOUNT UNLESS YOU HAVE TERMINATED YOUR SUBSCRIPTION FOR THE SERVICE (CONFIRMED BY YOU IN WRITING UPON REQUEST BY IROOZIPAGES).

d.Payment Method.

The terms of your payment will be based on your Payment Method and may be determined by agreements between you and the financial institution, credit card issuer or other provider of your chosen Payment Method (the "Payment Method Provider"). If IROOZIPAGES does not receive payment from your Payment Method Provider, you agree to pay all amounts due on your Billing Account upon demand.

e.Change in Amount Authorized.

If the amount to be charged to your Billing Account varies from the amount you preauthorized (other than due to the imposition or change in the amount of state sales taxes), you have the right to receive, and IROOZIPAGES shall provide, notice of the amount to be charged and the date of the charge at least 10 days before the scheduled date of the transaction. Any agreement you have with your Payment Method Provider will govern your use of your Payment Method. You agree that IROOZIPAGES may accumulate charges incurred and submit them as one or more aggregate charges during or at the end of each billing cycle.

f.Auto-renewal.

Your IROOZIPAGES subscription will be automatically extended for successive renewal periods at the then-current non-promotional subscription rate, unless you elect to turn off the rebilling mechanism on the site when you first purchase a subscription or deactivate the rebilling mechanism prior to the expiration date of your subscription. If you resign, you may use your subscription until the end of your then-current subscription term. However, you won’t be eligible for a prorated refund of any portion of the subscription fee paid for the then-current subscription period.

g.Reaffirmation of Authorization.

Your non-termination or continued use of the Service reaffirms IROOZIPAGES is authorized to charge your Payment Method. IROOZIPAGES may submit those charges for payment and you will be responsible for such charges. This does not waive IROOZIPAGES' right to seek payment directly from you. Your charges may be payable in advance, in arrears, per usage, or as otherwise described when you initially subscribed to the Service.

h.Free Trials and Other Promotions.

Any free trial or other promotion that provides subscriber-level access to the Service must be used within the specified time of the trial. You must cancel your subscription before the end of the trial period in order to avoid being charged a subscription fee. If you cancel prior to the end of the trial period and are inadvertently charged for a subscription, please contact support@IROOZIPAGES.COM to have the charges reversed.

7. Indemnity

You agree to indemnify and hold IROOZIPAGES, its subsidiaries, parent company, affiliates, officers, agents, co-branders, and other partners and employees, harmless from any loss, liability, claim or demand, including reasonable attorney’s fees, made by any third party due to or arising out of User Content You submit, post to, or transmit through the Site, Your use of the Site or Your violation of the Terms or any applicable laws or the rights of another.

8. Links and Search Results

The Site may provide links and automatically produce search results, or third parties may provide information, that reference or link to other online sites or resources. IROOZIPAGES has no control over these sites and resources, and You acknowledge and agree IROOZIPAGES is not responsible for the content or information contained therein. IROOZIPAGES cannot and does not guarantee, represent, or warrant that the content or information contained in such third-party sites is accurate, legal and/or inoffensive. IROOZIPAGES does not endorse the content or information of any third-party site or resource, and further does not warrant that these sites or resources will not contain viruses or otherwise impact Your computer. By using the Site to search for or link to another site, You agree and understand IROOZIPAGES shall not be responsible or liable, directly or indirectly, for any damages or loss caused or alleged to be caused by or in connection with Your use of, or reliance on, the Site to obtain search results and/or to link to another site.

9. No Resale of Site

You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Site, use of the Site, or access to the Site, without the express, prior written consent of IROOZIPAGES in each instance.

10. Modifications to Site

IROOZIPAGES reserves the right at any time to modify or discontinue, temporarily or permanently, the Site (or any part thereof) with or without notice. You agree IROOZIPAGES shall not be liable to You or to any third party for any modification, suspension, or discontinuance of the Site.

11. Suspension and/or Termination Rights

IROOZIPAGES reserves the right, at its sole discretion, immediately and without notice, to suspend or terminate the Terms, Your registration for any program, Your ability to access the Site, Your ability to utilize any services offered on the Site, and/or to remove any User Content, for any reason, including, but not limited to, any breach by You of the Terms or conduct by You that IROOZIPAGES determines to be inappropriate. You agree IROOZIPAGES shall not be liable to You or any third-party for any suspension or termination pursuant to this provision.

12. Copyright Policy

IROOZIPAGES understands and respects the importance of intellectual property. Pursuant to Title II of the Digital Millennium Copyright Act, all claims of copyright infringement for material that is believed to be residing on IROOZIPAGES system/network, should be promptly sent in the form of written notice to the Site’s Designated Agent:

All claims must include the following information:

A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
Identification of the copyrighted work claimed to have been infringed, or if multiple copyrighted works at a single on-line site are covered by a single notification, a representative list of such works at that site;
Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit the service provider to locate the material;

Except as expressly set forth herein, nothing contained in the Terms shall be construed as granting to You and/or the user a license under any IROOZIPAGES or third party intellectual property right. Except as expressly granted under this Agreement, all rights are reserved by IROOZIPAGES. You may not display the Site in frames or utilize any other techniques to display the Site (or any content on the Site) without the prior express written consent of IROOZIPAGES. You may not use any meta tags or any other “hidden text” utilizing IROOZIPAGES’ name or trademarks without the prior express written consent of IROOZIPAGES. You may not use IROOZIPAGES domain name as a pseudonymous return e-mail address for any communications You transmit from another location or through another service. You may not pretend to be someone else when using the Site. You may not link to the Site, without IROOZIPAGES’ prior consent, which consent may be withdrawn by IROOZIPAGES at any time, with or without notice, in IROOZIPAGES’ sole discretion.

13. Your Registration Obligations

In consideration of Your use of the Site, You agree to: (a) provide true, accurate, current and complete information about Yourself as prompted by the Site’s registration form (this information is collectively referred to as “Registration Data”) and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If You provide any information that is untrue, inaccurate, not current or incomplete, or IROOZIPAGES has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, IROOZIPAGES has the right to suspend, terminate, or refuse any and all current or future use of the Site, or any portion thereof.

14. Privacy Policy

We believe in the importance of Your privacy and the privacy of all of our users. Please review the Privacy Policy located on the Site, to which You hereby agree. You may be given an opportunity to “opt in” to receive mailings from IROOZIPAGES and/or its partners by “checking” on a box in the registration form. If You submit a registration form with the box checked, You consent to being placed on this mailing list. You may subsequently contact us to request to be removed from this list. (For purposes of the Terms, “partners” includes, in addition to third parties with whom IROOZIPAGES may have co-branding arrangements or some other business relationships).

15. Back-Up

IROOZIPAGES is not liable for any lost data resulting from the operation of our Site and/or the enforcement of the Terms. We recommend You retain a copy of all User Content You post or distribute to, or through, the Site. You understand and agree IROOZIPAGES may release information about IROOZIPAGES if required by law or subpoena, or if the information is necessary or appropriate to release to address an unlawful or harmful activity.

16. Password and Security

You will receive a password and account designation upon completing the Site’s registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under Your password or account. You agree to (a) immediately notify IROOZIPAGES of any unauthorized use of Your password or account or any other breach of security, and (b) ensure that You exit from Your account at the end of each session. IROOZIPAGES cannot and will not be liable for any loss or damage arising from Your failure to comply with this Section. Due to the nature of the Internet, computers, data flow, and other technical and economical practicalities, the Site, like most computer data and Internet applications, is vulnerable to various security issues and hence should be considered unsecured. By using the Site, You may be subject to various risks, including eavesdropping, sniffing, spoofing, forgery, spamming, “imposturing”, tampering, breaking passwords, harassment, fraud, electronic trespassing, hacking, system contamination including without limitation, viruses, worms, Trojan horses, causing unauthorized, damaging or harmful access and/or retrieval of information and data on Your computer and other forms of activity that may even be considered unlawful.

Information (including Registration Data, passwords and User Content) received or delivered or intended to be made available on and through the Site may be subject to these and other security or privacy hazards or may not reach its destination or reach an erroneous address or recipient. Although we take seriously the security of all member accounts and other personal and non-personal information associated with our visitors and participants, due to the open communication nature of the Internet, we cannot guarantee Your account will be free from unauthorized access by third parties.

17. U.S. Export Controls

IROOZIPAGES encourages users from around the world to use the Site. However, if You choose to use the Site, You understand, acknowledge and agree that Your use of the Site is governed by the Terms and US laws and regulations regarding online conduct and acceptable content. If You use the Site in a jurisdiction that prohibits or restricts the use of the Site, You agree Your use of the Site will be at Your own risk, without limitation of any other provision of the Terms, and IROOZIPAGES shall not have any liability with respect to such use.

18. Disclaimer of Warranties

You expressly understand and agree: Your use of the Site is at Your sole risk. The Site and its content are delivered on an “AS IS” and “AS AVAILABLE” basis. IROOZIPAGES expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. IROOZIPAGES makes no warranty the Site or any related services will be error-free, uninterrupted, timely, secure, or that it will provide specific results from use of the Site or any content, search or link therein. IROOZIPAGES further cannot ensure that files You may download from the Site will be free of viruses, Trojan horses, bugs, contamination, or destructive features.

Any material viewed, downloaded, or otherwise obtained through the use of the Site is done solely at Your own discretion and risk, and IROOZIPAGES will not be liable for any damages of any kind arising from the use of the Site, including, without limitation, direct, indirect, incidental, punitive, or consequential damages.

No advice or information, whether oral or written, obtained by You from IROOZIPAGES or through or from the Site shall create any warranty not expressly stated in the Terms. Data and information relating to securities or otherwise is provided for informational purposes only, and is not intended for trading purposes. Neither IROOZIPAGES nor any of its data or content providers shall be liable for any errors or delays in the content, or for any actions taken in reliance thereon.

19. Limitation of Liability

You expressly understand and agree IROOZIPAGES shall not be liable for any indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Iroozi Pages has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Site; (ii) the cost of procurement of substitute goods or services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Site; (iii) unauthorized access to or alteration of Your transmissions or data; (iv) statements or conduct of any third party on the Site; or (v) any other matter relating to the Site or the content or User Content posted. In no event will IROOZIPAGES be liable for any damages in excess of one hundred US dollars ($100.00).

20. Exclusions and Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply.

21. Miscellaneous

The Terms constitutes the entire agreement between You and IROOZIPAGES and governs Your use of the Site, superseding any prior agreements between You and IROOZIPAGES. You may also be subject to additional terms and conditions that may apply when You use affiliate services, third-party content, or third-party software. You agree the Terms and the relationship between You and IROOZIPAGES shall be governed by the laws of the State of California without regard to its conflict of law provisions. You agree to submit to personal and exclusive jurisdiction by and venue in the state and federal courts of the State of California, County of Los Angeles. The failure of IROOZIPAGES to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Site or the Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred. The section titles in the Terms are for convenience only and have no legal or contractual effect.
